Terms of Service

Effective date: May 12, 2026

1. Acceptance

By accessing or using Auditledge ("the Service") you agree to be bound by these Terms. If you do not agree, do not use the Service. These Terms form a binding agreement between you (or the company you represent) and Auditledge.

2. Description of Service

Auditledge provides a hosted API and dashboard for capturing, storing, and querying audit trail events. Features and limits vary by plan as described on our pricing page.

3. Account Registration

You must provide accurate information when creating an account. You are responsible for keeping your credentials and API keys confidential. You are liable for all activity that occurs under your account. Notify us immediately at hello@auditledge.com if you suspect unauthorized access.

4. Acceptable Use

You agree not to:
  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Send event payloads that contain payment card numbers, passwords, government ID numbers, or other sensitive personal data beyond what is required for a legitimate audit trail.
  • Attempt to reverse-engineer, probe, or compromise the security of the Service.
  • Resell or sublicense access to the API without written permission.
  • Exceed your plan's rate limits in a way that degrades service for other users.

5. Plans, Billing & Cancellation

Paid plans are billed monthly in advance via Stripe. All fees are non-refundable except where required by law. You may cancel at any time from the Billing section of the dashboard; access continues until the end of the current billing period. We reserve the right to change pricing with 30 days' notice.

6. Free Plan Limits

The Free plan is provided as-is for evaluation purposes. We may throttle or suspend Free accounts that generate excessive load. Free plan data is retained for 14 days.

7. Data Ownership

You retain ownership of all event data you send to the Service. By using the Service you grant Auditledge a limited license to store, process, and return that data solely to provide the Service to you. We do not analyze your event data for advertising or sell it to third parties.

8. Uptime & SLA

We target 99.9% monthly uptime on paid plans. Scheduled maintenance windows will be announced in advance. We do not offer financial SLA credits at this time.

9. Confidentiality

Each party agrees to keep the other's non-public information confidential and not to disclose it to third parties without prior written consent, except as required by law.

10. Intellectual Property

The Auditledge name, logo, software, and documentation are owned by Auditledge and protected by intellectual property law. Nothing in these Terms transfers any IP rights to you.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDITLEDGE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID IN THE 3 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13. Indemnification

You agree to indemnify and hold harmless Auditledge from any claims, losses, or damages arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your account for material breach of these Terms, non-payment, or if required by law, with reasonable notice where possible. Upon termination, your right to access the Service ends and your data will be deleted within 30 days.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in Delaware.

16. Changes to Terms

We may modify these Terms at any time. We will provide at least 14 days' notice for material changes via email or an in-app notice. Continued use after the effective date constitutes acceptance.
